Disbursements Addendum

This Chariot Disbursements Addendum ("Addendum") forms a contract between Chariot (referred to as “we”, “us”, or “our”) and individuals and the nonprofit organizations they represent, as well as visitors to our Platform (referred to as “Client”, “you” or “your”) and is to be incorporated into and considered to be a part of the Nonprofit Terms of Service as it relates to your use of Chariot Disbursements.

Definitions for any capitalized terms in this Addendum not included herein can be found in the Nonprofit Terms of Service. 
 

1. About Chariot Disbursements

 

1.1 General Use: General use of Chariot Disbursements is limited to approved Payers as determined by Chariot at our sole discretion. Nonprofits with certain IRS Foundation Codes, including IRS Foundation Codes 09 and 18, will automatically be considered ineligible for Chariot Disbursements services. All Banking Services including holding of assets and delivery of Outbound Payments are provided by our Bank Partner. Once a Chariot Deposit Account is established, Chariot will provide both API Documentation as well as a Chariot Account for you to use when searching for a Nonprofit Recipient or initiating an Outbound Payment. 

1.2 Verification and Transaction Processing: Chariot will maintain and verify a database of eligible Recipient Nonprofits and their associated Nonprofit Addresses. Chariot maintains this database at our sole discretion, in line with our strict compliance standards and in coordination with our Bank Partner. Chariot will not pay any Nonprofit that does not pass our compliance eligibility standards and is thus ineligible to be a Recipient Nonprofit. Chariot will process Outbound Payments to Recipient Nonprofits from your Chariot Deposit Account at your sole discretion. Your Account Owner may assign other Admins Users permission settings to also initiate Outbound Payments. Chariot is not responsible for any errors in decisions made by you or your permissioned Nonprofit Users in selecting which Recipient Nonprofit to pay or other transaction details you provide, including amount or donor information, in association with an Outbound Payment request.

1.3 Outbound Payments: Payments to any Recipient Nonprofit will be sent to the Nonprofit Address on file in the following ways:

 

  • 1.3.1 Electronic Payments: If a digital bank account address is available, including account and routing number, then electronic payment of funds will be used. Electronic payments may include ACH Credit, FedNow, or a Book transfer as applicable.

  • 1.3.2 Mailed Checks: If a digital bank account address is unavailable then a check will be mailed to the verified address on file for the Recipient Nonprofit. 

1.4 Receipt of Mailed Checks: Chariot will facilitate payouts to the Recipient Nonprofit as requested by you. You acknowledge that for Mailed Checks, Chariot is not responsible for any deliverability issues resulting from services provided by USPS. Chariot cannot guarantee the nonprofit’s ultimate receipt of funds, including as a result of check fraud or other issues upon delivery. All Mailed Checks issued by Chariot will include Positive Pay Protections and Stop Payment functionality for the benefit of Chariot Disbursements users. 

 

1.5 Outbound Payments Status: Each Outbound Payment will include a status for each transaction so you can see if the grant payment is pending, canceled, or complete. Names and types of transaction statuses are subject to change as the Chariot Disbursements offering is improved. 

 

1.6 Funding your Account: You are solely responsible to keep your Chariot Deposit Account funded in excess of the transaction value of the Outbound Payments you are requesting. You can choose to fund your Chariot Deposit Account via ACH Credit, ACH Debit, or FedWire. While we recommend funding your Chariot Deposit Account on a weekly basis to limit associated transaction fees, the rate at which you fund your Chariot Deposit Account prior to initiating Outbound Payments is up to you. You can fund your Chariot Deposit Account with your External Financial Account on file.  

 

1.7 Insufficient Funds: If your Chariot Deposit Account lacks sufficient funds to cover the gift and any related transaction fees at the time of processing Chariot will immediately notify you, either via an error response in your API request or directly in your Chariot Account, that you have insufficient funds. Any requested Outbound Payment will not be processed until the required funds are deposited into your Chariot Deposit Account. You bear all responsibility and liability for missed or delayed payments due to insufficient funds.

2. General Provisions

2.1 Disclaimer of Liability: Chariot’s responsibility is limited to verifying a Nonprofit Recipient as eligible for payment, confirming the Nonprofit Address, and initiating the Outbound Payment to the Nonprofit Address on your behalf via our Bank Partner. Chariot Disbursements does not guarantee the final delivery or ultimate use of funds by Recipient Nonprofits. Chariot will not be held liable for:​

  • 2.1.1 Non-Delivery: Check Payments that fail due to incorrect nonprofit information or issues with mailing services provided by third-parties. 

  • 2.1.2 Fraud: Issues such as check fraud or unauthorized access once payment has been initiated.

  • 2.1.3 Delayed Acceptance: Delays caused by Recipient Nonprofits failing to process or accept payments.

  • 2.2 Branding Requirements: All references to the Chariot Disbursement services must include the phrase "powered by Chariot" or use Chariot's designated branding as it may be updated from time to time.


2.3 Term and Termination:
 

  • 2.3.1 Duration: This Addendum remains in effect through the defined Service Term, if applicable, or until terminated. Consistent with our rights under the Nonprofit Terms of Service, at any time in our sole discretion, Chariot may terminate or suspend this Addendum (or your use of the Platform) with or without notice and for any or no reason, including if Chariot suspects that you have violated this Addendum and/or any applicable law. Chariot will have no liability to you for any termination or suspension, nor will such action limit any other rights or remedies Chariot may have. 

  • 2.3.2 Termination: Terminating this Addendum does not automatically terminate the Nonprofit Terms of Service. The Nonprofit Terms of Service must be separately terminated following their specific termination procedures.

2.4 Conflict Resolution: The terms and conditions of this Addendum are supplemental to, and not in lieu of, the Nonprofit Terms of Service. In case of conflict, this Addendum prevails over the Nonprofit Terms of Service for matters related to Chariot Disbursements.

 

2.5 Severability: Whenever possible, each provision of this Addendum shall be interpreted in such manner as to be effective and valid under applicable law, but if any provision of this Addendum is held invalid or unenforceable, the remainder of this Addendum shall nevertheless remain in full force and effect and the invalid or unenforceable provision shall be replaced by a valid or enforceable provision.
